Using the site https://codeximdirect.fr automatically entails acceptance of the General Terms and Conditions of Sale below. In the General Terms and Conditions of Sale, this site is referred to as "CODEXIM Direct”.
The Terms and Conditions below set forth the rights, obligations and restrictions which apply to orders of computer consumables purchased from the Codexim website. This website and its associated terms and conditions apply to products delivered to mainland France.
1. Using this website and/or using this website to submit electronic orders automatically entails full acceptance of CODEXIM Direct’s terms and conditions. It is agreed that electronic communications are deemed by the parties to have the same evidentiary value as written documents. An order acknowledgement will be sent to you by CODEXIM.
2. These CODEXIM Direct terms and conditions serve as the full agreement between the Client and CODEXIM. Where applicable, they supplement any current agreement between the parties entered into for the same purpose and cancel and replace any previous spoken or written communication pertaining to the items ordered on the site. Any other terms and conditions (particularly any pre-printed terms and conditions on the Client's documents) are not applicable.
3. The Client agrees to inform CODEXIM immediately of any unauthorised use of its usernames and/or passwords, or of any other violation of the security regulations governing the CODEXIM Direct website. The Client assumes responsibility for its users' acts and omissions.
4. The Client undertakes not to upload or send any viruses, trojans or any other malicious code, not to disrupt the operation of CODEXIM’s servers and not to do anything which might prevent this website from working properly.
5.Orders. Orders will only be processed once we have accepted them. No orders may be cancelled, either in full or in part, while they are in the process of being fulfilled, without our prior agreement.
6.Prices and payment terms and conditions. The prices quoted are net, per unit and do not include VAT when they leave our stores and are those applicable on the date of delivery, particularly for prices given in a foreign currency. The prices given on this site cancel and replace any former catalogue prices. The prices invoiced are the ones that are in force when the order is submitted, subject to typographical errors. CODEXIM reserves the right to make changes to its prices at any time in order to reflect changes on the market. Prices are given in euros and do not include VAT or any other taxes. The Client is responsible for paying all such fees and taxes. Transport and delivery costs are invoiced at the prices in force on the delivery date and are for standard delivery conditions.
Orders submitted via the CODEXIM Direct website may only be paid for by credit or debit card: Visa, MasterCard, American Express. Invoices will be sent to the Client by email within two weeks.
7. Delivery terms and conditions. The delivery times given on the order (3 to 7 days) will be honoured insofar as it is possible to do so, but are given as a guide only. The Client agrees to provide their exact address so that CODEXIM can deliver the goods ordered. Transfer of ownership occurs as soon as complete payment is received. Risks are transferred to the Client starting when the items are taken from CODEXIM's warehouses and the products are transferred to the transport company.
The products are delivered to the delivery address specified by the Client when the order was submitted. The Client is responsible for ensuring its accuracy. Any parcels returned to CODEXIM because of an incorrect or incomplete delivery address will be sent back to the Client and the Client will bear the costs thereof. CODEXIM will not be held liable in the event of it proving impossible to deliver the order. Should the Client wish to receive orders at two separate delivery addresses, they must submit two separate orders and cover the associated delivery costs.
CODEXIM undertakes to go to every effort to deliver the products ordered by the Client as soon as possible. However, if products ordered and delivered via the French Post Office’s Colissimo service have still not been delivered within 30 days of the order being submitted, the Client must inform CODEXIM all as soon as possible, by telephone or email. CODEXIM will contact the Post Office and ask it to launch an enquiry, which may last up to 21 days. If the products are located, they will be sent to the Client's home. If the products have still not been located at the end of the enquiry, they will be deemed lost and CODEXIM will then be able to send the Client replacement products, without the Client having to bear any extra costs. In the event of the products ordered no longer being available, CODEXIM will refund the Client for the cost of the products deemed lost. If the products are still available, but no longer at the same price in the webstore, CODEXIM will apply the previous sales prices.
In all circumstances, if the products have not been delivered within 10 days of the specified delivery date for any reason other than reasons of force majeure or as a result of the Client's actions, the sale may be cancelled at the Client's written request. The amounts paid by the Client will then be refunded within 14 days of the contract being terminated, with the exception of any compensation or deduction.
"Unclaimed" items returned by the Post Office
Returns deemed "unclaimed" are packages not claimed by the Client from the Post Office's sorting office within 15 days of notice of a delivery attempt having been issued. Once CODEXIM has received and accepted the returned package, the total order amount (minus total postal costs) will be credited to the Client's account within 48 hours of CODEXIM having received the package. The Client may then resubmit their order.
8. Order acceptance. On receiving the order, the Client will inspect it and make a note of any reservations on the delivery slip in the event of any visible damage or any missing items. If applicable, they must send a detailed claim by recorded delivery (with a request for receipt) within three days of receiving the delivery, informing CODEXIM by post or email. Any non-transport related claims – items not being as ordered, visible defects on the goods, etc. – must be sent in writing to CODEXIM within 8 days of the delivery. Failure to do this will result in the Client not being entitled to claim any replacement, refund or compensation.
9. Return of goods. Standard products (products not customised at the Client's requests) may be returned by the Client with CODEXIM's authorisation and within the claims period detailed in article 7. The return transport costs must be borne by the Client.
Products must be returned complete, in perfect working order, unused, undamaged and with all their accessories (if applicable), in their original packaging and without any labels affixed by the Client. The Client will receive notification from CODEXIM's Customer Service department that the goods have been registered as returned. CODEXIM will then credit the same account that the Client used to pay for the order, for the total amount of the products returned.
Any product that has been modified in any way, returned in poor condition, not returned in its original packaging or returned in original packaging that has been damaged will still need to be paid for and will be returned to the Client (and the Client will bear the costs).
10. Right of cancellation. If the Client is a private individual, they have 7 clear days starting from the order delivery date to exercise their right of cancellation and receive a full refund. The cost of sending the order back to CODEXIM's warehouse must be borne by the Client. However, any incomplete, damaged or soiled items will not be taken back. For all returns before the cancellation period referenced above has elapsed, the Client must first obtain a returns number from CODEXIM.
In compliance with current legislation, this cancellation period is not applicable to consumables (paper, inks, etc.) once the seal on their packaging has been broken.
11. Contractual guarantee. CODEXIM undertakes to supply items with no hidden defects, in compliance with published documentation supplied with delivery. Unless specifically indicated, the contractual guarantee period is 90 days starting on the delivery date.
In the event of an item not being in compliance with the aforementioned guarantees, the Client must inform CODEXIM before the end of the guarantee period. CODEXIM will then replace the items deemed to be not in compliance. Should it prove impossible for CODEXIM to replace the items in question within a reasonable period following notification from the Client, the Client will be entitled to return the defective product and to obtain a refund, or keep the items in their current condition. All other recourse is expressly excluded, particularly any implied or statutory warranties of merchantability, fitness for a particular use or purpose. No claims will be considered by CODEXIM after a period of three months from when the items in question were delivered.
This guarantee does not apply in the event of a problem arising that does not specifically concern the item and which may result from an accident, the item sustaining damage, or non-compliant usage, installation or storage or negligence. Products bearing a third-party logo are covered by the terms and conditions of the third-party supplier's guarantee.
12. Liability. CODEXIM will not be held liable in the event of indirect damage. A financial or commercial loss, loss of profit, loss of turnover, loss of cash flow, a lost opportunity, loss of clients, wasted time, loss of expected savings, loss of data, disruption to business, social unrest or the consequences of any proceedings instigated by a third party against the Client constitute indirect damage; and as such, they do not entitle the Client to compensation. However, should CODEXIM be found liable by the Courts, its liability will be expressly restricted to duly substantiated direct damage, and to the total amount (excluding VAT) of the items in question. For material damage to the Client's property, CODEXIM will be held liable for direct damage up to a total of €1 million per accident, insofar as CODEXIM's negligence is established as being the cause of the damage.
13. Governing law and jurisdiction. These terms and conditions shall be governed by the laws of France. Any dispute arising from these terms and conditions shall be dealt with under the exclusive jurisdiction of the Paris Courts.
14. Export control. The Client undertakes not to use this website in violation of the restrictions and regulations governing exports and re-exports imposed by the US Department of Trade and by any other American or foreign agencies or authorities. The Client also undertakes not to transfer or authorise the transfer of any items to an unauthorised country, in compliance with current legislation, which would constitute a violation of this legislation. The products or information about the products must not be exported or re-exported (a) to any US embargoed countries or (b) to any person on the US Treasury Department's list of Specially Designated Nationals, or on the US Trade Department's Table of Deny Orders. By agreeing to these General Terms and Conditions of Sale, the Client declares and guarantees that they and the companies that they control are neither citizens of any of these countries, nor are they residents of them and are not included on either of these lists.
15. Force Majeure. Except for the Client’s payment obligations, none of the parties may be held liable for any breach of their obligations which may result from a natural disaster, the actions or decisions of a government, civil or military authority, a war, riots, strikes, fire or any other cause that is beyond their reasonable control.
16. Personal data. CODEXIM undertakes to comply with applicable legislation in order to guarantee the protection of the Client's personal data. Their personal data will be collected by CODEXIM for the purposes of ensuring the fulfilment of their order. In compliance with the law on the protection of personal data, the Client may exercise their right to access, oppose, correct or have their personal data deleted, by contacting the Customer Service Department. We may use cookies on some of the pages of the CODEXIM Direct website in order to provide our Clients with the best possible service. A cookie is a small data file placed on your computer’s hard drive by a website. Accepting the cookies used on our website helps us determine the number of visitors that it gets, together with the pages that they visit. We use this information to improve our website and ensure that visitors get the best possible service. This information is not passed on to third parties.
